Corporate governance training for boards of banks and financial institutions
The CBK Prudential Guidelines set what bank and microfinance bank boards must do: composition and independence, CBK approval of directors, charters and committees, meetings and attendance, and director training reported to the CBK each year. This course takes directors and company secretaries through the guideline in force and the changes the CBK proposed in September 2026.
Based in Nairobi, we work with organisations in Kenya, across East Africa and worldwide.

Recent developments and emerging issues
The course is updated as rules change. These are the developments it currently covers. Last reviewed: October 2026.
Draft revised Prudential Guidelines
Press reports describe larger boards, an independent non-executive chair and a nine-year cap on the chair's tenure. These are draft until the CBK issues the final text.
Draft Risk Management Guidelines
The board would bear ultimate responsibility for risk, approve strategy, risk appetite and significant policies including ESG and climate, and receive reports directly from the risk function.
Framework for systemically important banks
Capital surcharges of 0.5% to 2.5%, annual recovery plans, quarterly stress tests and closer CBK engagement with boards.
Banking (Penalties) Regulations 2025
Institutions face up to KES 20m or three times the gain, and officers generally up to KES 1m, including for fit-and-proper, insider-lending and governance breaches.
CBK fines rose to KES 93m
Penalties centred on single-borrower limits, insider lending and capital shortfalls.
Higher minimum core capital
Core capital rises to KES 10bn by 2029, with KES 5bn due by the end of 2026, so board capital plans are a governance priority.

Questions about corporate governance training for bank boards
What do the CBK Prudential Guidelines require of bank boards?
The corporate governance guideline (CBK/PG/02) covers board size, composition and independence, CBK approval of directors, board charters and committees, meetings and attendance, conflicts of interest, and director induction and continuing development reported to the CBK each year.
What changes has the CBK proposed in 2026?
On 10 September 2026 the CBK published revised draft Prudential Guidelines, draft Risk Management Guidelines and a framework for systemically important banks for comment until 7 November 2026. The course covers them in a module labelled as draft, updated when the final text is issued.
Does the course count towards director training?
The certificate states the course, date and hours, so it can be recorded in your board's training records and the annual report of directors' training to the CBK. Whether it counts for a professional body's CPD depends on that body's rules.
Is there a SACCO edition?
Yes. The SACCO edition is based on SASRA's governance guidance for deposit-taking SACCOs.
Can insurer boards take this course?
IRA guidelines require directors' governance training from an IRA-recognised institution. Until FNJ has that recognition, we offer insurer boards the AML/CFT and AI governance courses instead.
